1. Agreement
These Service Terms (“Terms”) govern fixed-price services offered as Package A — AI Operating Kit and Package B — Custom Mini-Tool (together, the “Services”). By paying through the Provider’s Stripe payment link, completing intake, and/or starting work, you (“Client,” “you”) agree to these Terms.
Order of precedence: For Package B, the one-page project brief approved by you in writing (email reply “BRIEF APPROVED”) describes the specific scope and, if inconsistent with these Terms on scope details, controls for that project only.
2. Services and scope
Package A — AI Operating Kit ($497)
Includes (as described on the landing page and offer materials):
- Prompt library tailored to your business (2–3 channels you select)
- One-page standard operating procedure (SOP) for team AI use
- One custom GPT or Claude Project configured in your account
- 30-minute handoff call (or async Loom + written Q&A if schedules conflict)
Does not include: custom software development, hosting paid by Provider, ongoing support beyond handoff, Provider logging into your email/social accounts to post on your behalf, or third-party subscription fees (e.g., ChatGPT Plus, Claude Pro).
Turnaround: Approximately one weekend after payment clears and intake is complete.
Package B — Custom Mini-Tool ($1,200 total)
Includes:
- One-purpose internal web tool (one job only — e.g., content calendar, intake dashboard, request tracker, or training checklist)
- One-page written brief (Provider drafts; you approve before build)
- Build on a simple modern web stack (e.g., Next.js + Supabase + Vercel or equivalent)
- Team login if required
- Two (2) revision rounds after the first working version
- Fourteen (14) days of bug-fix support after final handoff
Does not include: multi-product SaaS, mobile native apps, social-media auto-posting, unlimited revisions, ongoing feature development, or work outside the approved brief.
Turnaround: Approximately seven (7) days after deposit clears, intake is complete, and brief is approved.
Change requests
Work outside the approved scope (Package B) or beyond Package A deliverables requires a new written agreement and additional fees. Provider will not begin out-of-scope work without your written approval and payment terms for the change.
3. How to buy — payment and start conditions
Package A
- Pay $497 in full via the Provider’s Stripe payment link.
- Complete the Package A intake form (all fields required).
- Provider confirms “intake complete” and schedules the build/handoff.
Work does not start until intake is complete.
Package B
- Pay $600 deposit (50% of total) via Stripe to reserve build time.
- Complete the Package B intake form (all fields required).
- Provider sends a one-page brief within approximately 24 hours.
- You reply “BRIEF APPROVED” by email — this locks the Statement of Work (SOW).
- Provider builds the tool.
- You pay the remaining $600 before final handoff (access credentials, deployment transfer, or delivery as agreed).
- Provider delivers handoff and begins the 14-day bug-fix window.
Work does not start until intake is complete and the brief is approved.
Payment method
Payments are processed by Stripe. Provider does not collect or store your card details. You agree to Stripe’s terms and privacy policy for payment processing.
4. Client responsibilities
You agree to:
- Provide accurate intake information and timely responses
- Maintain accounts required for delivery (e.g., ChatGPT/Claude, Vercel, Supabase) unless otherwise agreed
- Not send passwords — use invites, magic links, or screen-share while you remain logged in
- Provide voice samples, content, or brand assets when required for your package
- Review deliverables and request revisions within the included rounds promptly
Delays caused by incomplete intake, missing approvals, or slow feedback may extend timelines. Provider is not liable for missed dates caused by Client delay.
5. Revisions
| Package | Included revisions |
|---|---|
| A | Reasonable adjustments during handoff call / one async round for kit materials |
| B | Two (2) revision rounds after the first working version that matches the approved brief |
A “revision round” means one consolidated batch of feedback addressed together. New features, new integrations, or changes to the approved brief count as out of scope, not revisions.
6. Support
- Package A: No ongoing support after handoff unless you purchase a new engagement.
- Package B: 14 days of bug-fix support after final handoff — defects that prevent the delivered tool from functioning as described in the approved brief. Support does not include new features, training beyond handoff, or issues caused by third-party outages or Client changes.
7. Intellectual property
Package A
Deliverables created specifically for you (prompts, SOP, configuration instructions) are yours to use in your business. Provider retains all rights to pre-existing methods, templates, and know-how used to create your kit. Provider will not reuse your confidential voice samples or trade secrets.
Package B
Upon full payment of the $1,200 total:
- You own the custom deliverable built for you under the approved brief (application code and client-specific content created for your project).
- Provider retains rights to pre-existing code, libraries, frameworks, and general techniques. You receive a perpetual, non-exclusive license to any pre-existing Provider materials embedded in the deliverable, solely as part of your delivered tool.
- Third-party services (hosting, database, AI APIs) remain subject to those providers’ terms and your accounts.
Provider may display a generic portfolio description of the project (no confidential business data) unless you object in writing before handoff.
8. Confidentiality
Each party will keep the other party’s non-public business information confidential and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or rightfully received from a third party without restriction.
9. Refunds and cancellation
| Situation | Policy |
|---|---|
| You cancel before Provider starts work | Provider may refund amounts paid, minus a reasonable administrative fee and any non-recoverable costs, at Provider’s discretion. |
| You cancel after work has started | Package B deposit / project commencement fee is non-refundable once intake is complete and the brief is approved and/or build has begun. Package A fees are non-refundable once Provider confirms intake complete and schedules or begins the build. |
| Provider cannot deliver | Refund of unused amounts paid. |
| After delivery / handoff | No refunds. Disputes about quality are handled through included revision rounds (Package B) or good-faith discussion (Package A). |
Chargebacks: If you initiate a payment dispute with your card issuer, Provider may suspend work and provide the issuer with these Terms, payment records, intake, brief approval, and delivery evidence.
10. Warranties and disclaimer
Provider will perform Services in a professional manner consistent with the described packages.
Except as stated above, Services are provided “as is.” Provider disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose.
Provider does not guarantee specific business results (revenue, leads, time saved). AI tools may produce incorrect output; you are responsible for reviewing outputs before use.
11. Limitation of liability
To the maximum extent permitted by law:
- Provider’s total liability for any claim arising from these Terms or the Services is limited to the amount you paid Provider for the specific package giving rise to the claim.
- Provider is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business interruption.
Some jurisdictions do not allow certain limitations; in those cases, limits apply to the fullest extent permitted.
12. Independent contractor
Provider is an independent contractor, not your employee, partner, or agent. You are responsible for your own taxes, insurance, and compliance related to your use of deliverables.
13. Termination
Either party may stop work before delivery if the other materially breaches these Terms and does not cure within seven (7) days of written notice (email sufficient).
If you terminate after work has started, Section 9 (Refunds) applies. If Provider terminates for your material breach, amounts paid for work performed and the non-refundable commencement fee may be retained.
14. Disputes and governing law
Governing law: State of Florida, without regard to conflict-of-law principles.
Venue: Exclusive jurisdiction in the state or federal courts located in the county where Provider maintains its principal place of business, Florida, and each party consents to personal jurisdiction there.
Informal resolution: Before filing suit, the parties agree to attempt good-faith resolution by email for 14 days.
15. Changes
Provider may update these Terms for new purchases by posting a revised version at the public URL with a new effective date. The version in effect at the time of your payment governs your engagement.
16. Miscellaneous
- Entire agreement: These Terms plus the approved Package B brief (if applicable) are the entire agreement for the Services.
- Severability: If any provision is unenforceable, the rest remains in effect.
- Assignment: You may not assign these Terms without Provider’s written consent. Provider may use subcontractors for non-client-facing work.
- Notices: Email to the addresses used in intake and payment is sufficient.
